FSQ Supplemental AI Terms
1. General Information
1.1 Certain Foursquare services (each, a “Service” and, collectively, the “Services”) may include artificial intelligence (“AI”), machine learning, automated recommendations, predictive modeling, natural language processing, generative AI, or other automated functionality designed to help customers analyze data, generate insights, improve workflows, configure campaigns, query location intelligence, or otherwise use the Services more efficiently.
1.2 These AI-enabled features are intended to support customer decision-making. They do not replace customer review, independent judgment, or responsibility for how the Services and any outputs are used.
1.3 For purposes of these terms:
“AI Features” means any feature within the Services that uses artificial intelligence, machine learning, automated modeling, algorithmic recommendation, generative AI, or similar technology.
“Inputs” means prompts, queries, files, datasets, instructions, configurations, campaign parameters, business information, or other materials submitted to an AI Feature.
“Outputs” means responses, summaries, recommendations, maps, segments, analyses, classifications, predictions, suggested configurations, code, text, visualizations, or other results generated or assisted by an AI Feature.
“Customer Data” has the meaning set forth in the applicable agreement, and may include Inputs to the extent those Inputs constitute Customer Data.
2. Use of AI Features
2.1 Customer may use AI Features only in connection with the applicable Services and only for lawful business purposes consistent with the agreement, product documentation, applicable laws, and any usage limits or instructions provided by Foursquare.
2.2 Customer is responsible for:
(a) Ensuring it has all rights, permissions, notices, consents, and lawful bases needed to provide Inputs to the Services.
(b) Reviewing and validating Outputs before relying on them or using them externally.
(c) Ensuring that its use of Inputs, Outputs, and AI Features complies with applicable privacy, consumer protection, advertising, anti-discrimination, intellectual property, and sector-specific laws.
(d) Ensuring that AI Features are not used as the sole basis for decisions that produce legal, financial, employment, housing, credit, insurance, education, healthcare, or similarly significant effects concerning individuals.
(e) Maintaining appropriate human oversight for any material business decision informed by an AI Feature.
(f) Evaluating whether Outputs are appropriate for Customer’s intended use case, audience, jurisdiction, and risk profile.
3. Output Limitations
3.1 AI Features may produce Outputs that are inaccurate, incomplete, outdated, duplicative, biased, unexpected, or unsuitable for a particular purpose. Outputs may not reflect all relevant legal, regulatory, business, or factual considerations.
3.2 Customer should not treat Outputs as legal, compliance, financial, professional, or technical advice. Customer remains solely responsible for decisions, actions, campaigns, communications, analyses, or other uses based on Outputs.
3.3 Foursquare does not guarantee that any Output will be accurate, complete, unique, non-infringing, fit for a particular purpose, or suitable for Customer’s specific use case.
4. Restrictions
4.1 Customer will not use AI Features to:
(a) Develop, train, or improve a competing product or service.
(b) Reverse engineer, extract, copy, or attempt to discover underlying models, algorithms, weights, prompts, system instructions, or proprietary logic.
(c) Circumvent safety controls, access controls, rate limits, contractual restrictions, or technical safeguards.
(d) Generate or support unlawful, deceptive, discriminatory, harmful, or misleading content or activity.
(e) Identify, target, profile, or make decisions about individuals in violation of applicable law or platform policy.
(f) Infer or target sensitive characteristics unless expressly permitted under the agreement, applicable law, and Foursquare’s written policies.
(g) Upload sensitive personal information, regulated data, confidential third-party data, or special category data unless expressly authorized under the agreement and appropriate controls are in place.
(h) Use Outputs as the sole basis for eligibility, pricing, access, enforcement, or similar determinations involving individuals.
5. Data Use and Model Improvement
5.1 Unless otherwise stated in the applicable agreement, product documentation, or order form, Foursquare may process Inputs, Outputs, usage data, logs, and related technical information to provide, secure, maintain, troubleshoot, monitor, improve, and support the Services.
5.2 Foursquare will not use Customer Data to train third-party foundation models except as expressly permitted by the applicable agreement or with Customer’s authorization.
5.3 Foursquare may use de-identified, aggregated, or statistical information derived from use of the Services to improve, secure, and evaluate the Services, provided such information does not identify Customer or any individual.
6. Third-Party AI Providers
6.1 Some AI Features may use third-party AI models, infrastructure, or service providers. Foursquare will use commercially reasonable measures to ensure that such providers are subject to appropriate confidentiality, security, and data protection obligations.
6.2 Customer acknowledges that third-party AI providers may process Inputs and Outputs as necessary to provide the AI Features, subject to the applicable agreement, data processing terms, and subprocessors list, if applicable.
7. Similarity of Outputs
Because AI Features may generate similar or identical Outputs for different users, Customer acknowledges that Outputs may not be unique. Foursquare does not restrict other customers from receiving the same or similar Outputs, provided Foursquare does not disclose Customer’s confidential information in violation of the agreement.
8. Customer Materials and Rights
8.1 As between the parties, Customer retains its rights in Customer Data and Inputs. Subject to Customer’s compliance with the Agreement, Foursquare assigns to Customer any rights Foursquare may have in Outputs generated specifically for Customer through generative artificial intelligence features of the Services.
For clarity, the foregoing assignment does not apply to, alter, or supersede any ownership, license, use, or other rights provided under the terms governing any Foursquare product or service, including the Foursquare Enterprise Customer Master Terms, Enterprise User Interface Terms, Developer Master Terms, or any applicable Supplement, EULA, Additional Terms, or product-specific terms. Foursquare retains all rights in and to the Foursquare products and services, Foursquare data, reports, insights and other information generated by or made available through them, Foursquare technology, underlying models and algorithms, Service improvements, and any pre-existing Foursquare materials.
8.2 Customer is responsible for determining whether Outputs may be protected, used, registered, disclosed, or commercialized under applicable law.
9. No High-Risk Use Without Written Approval
Customer will not use AI Features for high-risk, regulated, or legally significant use cases unless expressly authorized in writing by Foursquare. High-risk use cases include, without limitation, use in employment, credit, housing, insurance, education admissions, healthcare, biometric identification, law enforcement, legal determinations, or decisions that materially affect an individual’s rights or opportunities.
10. Changes to AI Features
Foursquare may, in its sole discretion, modify, suspend, replace, or discontinue AI Features at any time, for any reason or no reason, including to improve performance, address security or legal risks, comply with law, manage third-party dependencies, or prevent misuse.
Service-Specific AI Terms
11. Spatial Studio and Geospatial Analytics Services
11.1 Spatial Studio and related geospatial analytics Services may include AI Features that assist with various tasks, such as map creation, spatial analysis, data classification, layer generation, query assistance, visualization, pattern detection, summary generation, or workflow automation.
11.2 Customer is responsible for reviewing all maps, analyses, visualizations, spatial joins, classifications, and other Outputs before relying on them or sharing them externally.
11.3 Customer acknowledges that geospatial Outputs may be affected by various factors and limitations, such as data quality, source limitations, location accuracy, projection issues, incomplete datasets, category definitions, modeling assumptions, and Customer-selected parameters.
11.4 Customer will not use Spatial Studio AI Outputs to make decisions about individuals unless expressly permitted to do so hereunder or in Customer’s agreement with Foursquare and only if and to the extent Customer has independently confirmed that such use is lawful, appropriate, and supported by necessary notices, consents, rights, and human review.
11.5 Customer is responsible for ensuring that any uploaded datasets, including location data, mobility data, customer data, property data, or business data, may lawfully be processed in or by the Services.
12. Places, Places API, Developer, and Enterprise Data Services
12.1 Foursquare Places, Places API, developer tools, enterprise data feeds, and related Services may include AI Features that assist with various tasks, including search, place matching, categorization, geocoding, entity resolution, metadata enrichment, query generation, code assistance, contextual responses, or application development.
12.2 Outputs may include various data or information, such as suggested places, place attributes, categories, tags, rankings, code samples, API queries, metadata, summaries, or other location context.
12.3 Customer is responsible for testing and validating Outputs before using them in production systems, customer-facing applications, routing, safety-sensitive workflows, compliance workflows, or business-critical operations.
12.4 Customer will not represent or suggest any AI-assisted place data, rankings, summaries, or recommendations as having been “verified by Foursquare” unless expressly identified as such in the applicable documentation or agreement.
12.5 Customer is responsible for ensuring that its applications using the Services provide appropriate notices, permissions, and controls where required by law, including where location data or user-submitted content is involved.
13. Audience Services
13.1 Audience Services may include AI Features that assist with various tasks, including audience discovery, segment recommendation, category mapping, campaign planning, taxonomy selection, or related workflow support.
13.2 Customer is responsible for ensuring that all audience selections, campaign configurations, and activation decisions comply with applicable laws, industry standards, platform policies, and Customer’s own obligations.
13.3 AI-generated or AI-assisted segment suggestions are recommendations only. Customer must independently review whether any segment, category, campaign, message, or use case is appropriate.
13.4 Customer will not use AI Features to create, infer, select, target, or activate audiences based on sensitive personal characteristics, prohibited categories, or restricted use cases except where and to the extent expressly permitted by the agreement, applicable law, platform policy, and Foursquare’s written approval.
13.5 Customer will not use AI Features or Outputs for discriminatory advertising, eligibility determinations, or targeting in connection with housing, employment, credit, insurance, healthcare, education, or similarly regulated opportunities.
14. Attribution and Measurement Services
14.1 Attribution and measurement Services may include AI Features that assist with various tasks, including campaign analysis, visit measurement interpretation, lift analysis, reporting, anomaly detection, summary generation, recommendation of insights, or optimization suggestions.
14.2 Outputs are intended to help Customer understand campaign performance and real-world outcomes. They should not be treated as a guarantee of any kind, including causation, incremental lift, return on ad spend, customer behavior, or future performance.
14.3 Customer is responsible for reviewing all reports, summaries, recommendations, and measurement Outputs before sharing them with clients, agencies, partners, regulators, or other third parties.
14.4 Customer will not use AI-assisted measurement Outputs to identify individuals, re-identify data subjects, make individual-level decisions, or combine Outputs with other data except where and to the extent expressly permitted by the agreement, applicable law, platform policy, and Foursquare’s written approval.
14.5 Where Customer supplies campaign, impression, conversion, CRM, sales, or other data for measurement, Customer is responsible for ensuring it has the necessary rights, notices, permissions, and lawful basis to provide and use such data in connection with the Services.
15. Proximity and Geofencing Services
15.1 Proximity and geofencing Services may include AI Features that assist with various tasks, including geofence creation, location selection, POI matching, category filtering, campaign planning, optimization suggestions, or performance interpretation.
15.2 AI-assisted geofence, POI, category, or campaign suggestions are provided for workflow support only. Customer is responsible for reviewing and approving all geofences, campaign settings, target locations, exclusions, and activation decisions.
15.3 Customer may not use AI Features to create or activate geofences around sensitive locations, restricted places, or prohibited categories except where and to the extent expressly permitted under the agreement, applicable law, platform policy, and Foursquare’s written approval.
15.4 Customer is responsible for ensuring that Proximity campaigns comply with applicable privacy, advertising, consumer protection, sensitive location, health, children’s privacy, anti-discrimination, and any other applicable laws.
15.5 Customer will not use AI Features or Outputs to target, infer, or exploit sensitive characteristics or vulnerable populations.
16. Support, Documentation, and Internal Workflow AI
16.1 Foursquare may use AI Features to assist with various tasks, including customer support, documentation search, ticket routing, knowledge-base responses, implementation guidance, or operational workflows.
16.2 AI-assisted support responses are provided for convenience only and do not in any way modify or supersede the agreement, order form, documentation, service levels, data protection terms, or Foursquare’s written commitments.
16.3 If there is a conflict between an AI-assisted response and the agreement, product documentation, or written guidance from an authorized Foursquare representative, such agreement, product documentation, or written guidance from an authorized Foursquare representative shall govern.
